General Terms and Sales Conditions

PRIOR NOTICE: the present general terms and conditions of sale are also available on request in other languages, either in Dutch and in French. Failing to demand those other languages, the present general conditions of sale in English are considered accepted and therefore applicable.

 

  1. Subject

These general sales terms and conditions have been drafted to formalise our respect for the business customer and commercial transaction. The aim of these terms and conditions is to define the terms under which SPRL Houblonde offers and sells its products to its customers. We undertake to ensure reciprocal compliance with these conditions.

The SPRL Houblonde website does not allow direct commercial transactions with private consumers who are not business customers.

  1. Availability of products

Products are available for sale while stocks last. If an order is placed for a product that is or has become unavailable, the customer will be notified by e-mail as soon as possible.

  1. Prices

The prices stated for each product are in Euro and must comply with Belgian legislation in terms of taxes and excise duty. All the information relating to the products from SPRL Houblonde is stated in the “price list” of Houblonde products. This price list may be obtained by sending an e-mail to this address:Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium. If products from SPRL Houblonde are to be exported, they must comply with the local legislation in the countries of delivery in terms of customs clearance, local taxes and, where applicable, excise duty.
Sales that are free of VAT (Value Added Tax) to customers who are not registered for VAT are only possible on condition that supporting documents are presented in advance.
The charges for carriage and transport will be negotiated on a case-by-case basis between the customer and SPRL Houblonde.
SPRL Houblonde reserves the right to modify all of its prices at any time. Nevertheless, products will be invoiced based on the prices in effect at the time the order is recorded.

  1. Acceptance of terms and conditions

Customers acknowledge that they have examined these general sales terms and conditions when placing their order. Customers also declare that they accept these terms and conditions without reservation. These general sales terms and conditions govern the contractual relationship between SPRL Houblonde and its customers, with both parties accepting said terms and conditions without reservation. These general sales terms and conditions take precedence over any other terms and conditions stated on any other document, except where express, written derogation is provided in advance.

  1. Orders

Orders placed for products will be sent as a priority by e-mail to the following address: Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium. Sending the order by e-mail is deemed as proof of the nature, content and date of the order. SPRL Houblonde will confirm to the customer acceptance of the customer’s order by sending an invoice to the e-mail address provided/used by the customer. The sale will not be deemed concluded until emission of the said invoice has been done independently of the payment or the delivery of the goods. SPRL Houblonde reserves the right to refuse or cancel any order from a customer, particularly in cases where said customer is insolvent or should there be default of payment for the order in question, or if there is a dispute relating to the payment of a previous order. Any statements made by the customer when the information relating to the customer’s order is entered will commit the customer. SPRL Houblonde cannot be held liable for any errors made by the customer in stating the address details of the recipient of the order (in particular the delivery address and invoicing address), as well as for any delays in delivery or the inability to deliver the products ordered that these errors might cause. In the event of a change of address, the customer is requested to notify the customer service

department SPRL Houblonde at the following address: Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium. Under no circumstances may SPRL Houblonde be held liable for any computer bug that, without the knowledge of SPRL Houblonde, alters the price of one or more items and/or the order. SPRL Houblonde therefore reserves the right to cancel an order if the amount of the order does not correspond with the prices normally (in the usual sense) set for products and/or delivery charges.

  1. Payment and delivery of goods

The goods ordered by the customer in accordance with point 6 above, will only be delivered after full and prior payment thereof and in all cases before delivery of the goods except specific payment conditions following an explicit agreement of the SPRL Houblonde. The order is effective upon receipt of payment. The customer can pay for his order by bank transfer. A bank transfer must be made net of expenses for the SPRL Houblonde. The customer must ensure that all bank charges are covered by the latter. Please use the following information to make a BE or IBAN bank transfer: BE 02 3631 6829 5040 – BIC BBRUBEBB.

  1. Proof of transaction

Computerized records, stored in the IT systems of SPRL Houblonde under reasonable security conditions, will be considered as the proof of the correspondence, orders and payments that have taken place between the parties. Purchase orders and invoices are archived on a dependable and sustainable medium and may be produced by way of proof.

  1. Transport and liability

By signing the delivery slip, the customer accepts the products delivered, as seen. From that time on, no claim relating to damage incurred during transport or not will be accepted. It is the customer’s responsibility to make all checks and note any reservations at the time the goods arrive or are taking in charge on the delivery slip. Unless agreed in writing to the contrary, goods travel at the expense and risk of the customer. In this regard, and in a non-exhaustive manner, it is expressly stated that the goods must be stored or transported at temperatures between a minimum of 5 ° Celsius and a maximum of 25 ° Celsius. It is therefore up to the customer to check the contents of the goods at the time of delivery or taking charge and, where appropriate, to report any reservations within a period of 48 hours in the following way: on receipt of the goods, any observations/reservations relative to products that are missing or damaged or broken must be notified in writing, providing as support a photo or some other element of material proof, to SPRL Houblonde by e-mailing Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium. These observations/reservations may also be lodged by post to the customer service department at SPRL Houblonde, at the following address: Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium within a period of 48 hours from the time the disputed goods are received (the postmark will serve as proof of postage).

  1. Order returns

If goods are disputed in any way by the customer, as dealt with in point 9 above, the cost of returning the goods will be borne by the customer. The following procedure must be followed by the customer in this regard: disputed goods returned at the expense of the customer within a period of 14 days from the time of delivery, in good condition and in their original packaging, with the original invoice, for exchange or for a refund in the amount corresponding to the value of the product. In the event of a return of goods, the customer must return the whole of the order, in good condition and without the products being used, even partially. SPRL Houblonde reserves the right to refuse or not refund items received if the product packaging has been opened, bottles have been opened or if the products have been damaged by the customer or during the return process. SPRL Houblonde will reimburse the customer as soon as it receives the item being returned in the required conditions. Carriage costs to return the item(s) will be borne by the customer. Orders should be returned to GDL Transport, Lar 40/M, 8930 Menen, Belgium.

  1. Loss or theft of the package

In the event of the loss or theft of the package as the result of a problem with the carrier selected by mutual consent with the customer by SPRL Houblonde, it is vital to report the loss or theft to SPRL Houblonde within a reasonable period of time. When reporting the loss or theft of the package, the customer must attach, either by e-mail sent to Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium (requesting confirmation of receipt), or by post (Houblonde Customer Service Department, Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium) an affidavit confirming non-receipt of the package. An investigation will then be launched by SPRL Houblonde with the carrier. SPRL Houblonde will make all information relating to the investigation available to the customer. It will require a minimum of 3 weeks to clarify the situation relating to the loss of theft of a package and a maximum of 2 months. 

  1. Confidentiality of personal and banking data

Right of access and amendment of data. In order to meet the customer’s needs and provide the best possible service, SPRL Houblonde is required to record certain details about the customer in its database (company name, VAT nº, company number, e-mail or postal address, surname, first name, etc.). The fact of the customer providing SPRL Houblonde with this information, via the website at www.houblonde.com, by e-mail or any other form of communication, equates to the customer’s consent for his/her/its details to be stored in the database or computer files of SPRL Houblonde and for those details to be used in the business relations between SPRL Houblonde and the customer. This data will be used for customer administration, order management, deliveries, invoicing material and immaterial services, monitoring the customer’s solvency, publicity, personalized treatment and the marketing of SPRL Houblonde products to customers. The customer may be notified of offers from SPRL Houblonde by telephone, post or e-mail. If the customer does not wish to receive this type of information or no longer wishes to receive it, an e-mail should be sent to the SPRL Houblonde customer service department at Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium stating company name, surname, first name and address.
Customer banking information. No banking information provided by customers when a purchase is made is saved, stored or made visible online.
Customer data is processed in accordance with the provisions of directive 2002/58/EC relative to the processing of personal data. In practical terms, this means in particular that:
Customer data of a personal nature may only be gathered and processed in accordance with the purposes stated in these general sales terms and conditions. This means that SPRL Houblonde does not sell or market or lease data relating to its customers to any third parties. Customers have the right at all times to access and amend their data. They also have the right to object to its use, or to verify the accuracy of the data and to correct any errors relating to that data. To do so, all customers need to do is send an e-mail to Sentier Muraes 10, 1440 Braine-le-Chateau – Belgium clearly stating their details.
Use for statistical purposes relative to browsing the site.
When you access the Houblonde website, the servers consulted automatically gather the following data: the IP address attributed to you when you connect; the date and time of accessing the site; the pages viewed; the type of browser used; the platform and/or operating system installed on the PC; the search engine, as well as the keywords used to locate the site.
This information is kept for the sole purpose of measuring the number of visitors to the various sections of the site and to make improvements to them.
Use of cookies. For the purpose of facilitating navigation at the site, as well as optimizing its technical management, SPRL Houblonde may occasionally be required to use “cookies”. A cookie is a small item of data saved by a website in the computer’s Internet browser. This cookie can then be retrieved during a subsequent visit to the same site. The cookie can only be read by the website that created it. The site uses cookies for administrative purposes, such as recording customers’ preferences for certain types of information. This is to avoid the customer having to enter the same information on the keyboard each time the customer visits the Houblonde website. Most cookies only operate during a session or visit. No cookies contain information that may render the customer likely to be contacted by telephone, e-mail or through the post. Customers can also configure their browser to notify them each time a cookie is created or to prevent cookies from being recorded.

  1. Liability and applicable legislation

SPRL Houblonde’s liability may not be invoked for disruptions or damage inherent to using the Internet, specifically for a breakdown in the service, intrusion from the outside or the presence of computer viruses, or for any other event qualified as force majeure in accordance with the law. The products offered comply with current Belgian legislation and with the standards applicable in Belgium. Any photographs, films, videos, texts, information graphics and characteristics reproduced to illustrate the products presented are not contractual in nature. As a result, SPRL Houblonde’s liability cannot be invoked in the event of an error or omission in any of these photographs, films, videos, texts, information graphics and characteristics of the products (recipe, composition, taste, flavors, colors or other) or in the event of a modification to the features of the products. SPRL Houblonde cannot be held responsible for the non-fulfilment of the contract entered into in the event of stocks running out or the product not being available, as well as in the event of force majeure, disruptions to or a total or partial strike in the postal services and means of transport and/or communication, flood or fire. SPRL Houblonde cannot be held liable for any indirect damage arising from these terms and conditions, operating losses, loss of profit, loss of opportunity, damages or expenses that may occur as a result of purchasing the products.
These general sales terms and conditions are subject to Belgian law. The same applies both for substantive rules and for rules of form. In the event of litigation or a complaint, consumers should contact SPRL Houblonde in the first instance to obtain an amicable solution. Should negotiations fail, the following provisions will apply:

  • for a contract entered into by a Belgian customer from Belgium: this contract is subject to Belgian legislation. Any dispute arising in the context of the fulfilment or interpretation of this contract will be brought before the courts of Brussels.
  • for a contract entered into by a customer placing an order from another country in the European Union: this contract is subject to Belgian legislation. Any dispute arising in the context of the fulfilment or interpretation of this contract will be brought before the courts with jurisdiction pursuant to the directives and regulations of the European Union (in particular the Brussels Convention, 27th September 1968).
